1.1 Musicpreneur Malaysia.

Welcome to Musicpreneur Malaysia! We are music lesson provider and registration platform. Through our platform, mobile apps and services, we enable music school that is under Musicpreneur Malaysia to share their workshop for the public to register class online

1.2 Users.

Through the Services, Musicpreneur provides a simple and quick means for registered users who are Music School under Musicpreneur Malaysia (“Organizers”) to create workshops and lessons registration, coach profile, organizer profile, to promote workshops and lessons  to visitors or browsers who wish to make purchases, registrations to such events (including to free events) (“Attendees”). We refer to Organizers, Attendees and other visitors and browsers of the Services collectively as “Users” or “you.”

 

2. Privacy Policy 

2.1 Security Practices 

We always attempt to protect your online information per our own security standards and practices. As a customer of www.musicpreneur.com.my, you are in complete control of your needs. This includes controlling the use of information you provide to www.musicpreneur.com.my. We respect the privacy of our customers who use www.musicpreneur.com.my. Because protecting your privacy is important to us, you can be assured that www.musicpreneur.com.my discloses the following:

• What Information we gather from you 

• Who the information will be shared with (if anyone) 

• An opt out policy? Access to your information (including how to update or correct inaccuracies) Safeguards in place to protect your information 

 2.2 Other information about your privacy 

You can provide optional additional information during registration. The information will help us assist you better for several reasons including: 

• personal identification; 

• to complete program registration; 

·         to allow us to contact you for customer service, if necessary; 

·         to customize the content of our site to meet your specific needs; and 

·         to make product improvements to our portal. 

In addition, your email address is collected to send you an email message confirming your reservation you transact online. As a member, you will occasionally receive updates from us about new product lines, special offers, and new www.musicpreneur.com.my services. However, you may always decline to receive these email messages. 

Members can choose to provide www.musicpreneur.com.my with program preferences, credit card billing information, delivery address, and other personal information. This information is primarily used to assist members in making sigh ups quickly without having to type in the same information repeatedly. 

 

3. Forms & online surveys 

We may use the information provided by you through online surveys or forms to understand your needs in a better way so that we may provide you quality products or services. Our plan is to use your valuable information towards the continuous improve the write-up, functionality and usefulness of our Website. 

 

4. Using Email 

It is completely your decision whether you will send information over the Internet or not. Because email sent via the Internet may pass through types of networks having various types of security. Therefore, an email may be copied, altered or destroyed due to security holes. We may also preserve your valuable email so that we can efficiently respond to any of your future questions. However, we will respect your request not to be contacted by email.

We may use session cookies to remember the information you provide. The cookies are not intended to track your computer after you leave our site.

We repeat again, it is completely your decision whether you will send information over the Internet or not. Without your consent, we do not plan to disclose the personal information like name, email, phone, fax etc. that you may provide us. Our plan is to use maintain your valuable information towards the betterment of our site.

Our privacy statement may change anytime to collect & use information from you in a better and safe way to serve you better. We strongly encourage you to return to this page from time to time for any updates. 

 

8. IP Address 

www.musicpreneur.com.my collects IP addresses to help diagnose problems with our servers and for system administration. Please be aware that we have links on our site which may collect personally identifiable information about you. This Privacy Statement does not cover the information practices or policies of such Websites. 

 

9. Who we share information with 

When you purchase workshops or music traveling tickets through www.musicpreneur.com.my, we provide information about you to the airline, car rental agency, hotel, travel agency or other involved third party to ensure the successful fulfilment of your travel arrangements. We do not sell individual customer names or other private profile information to third parties and have no intention of doing so in the future. 

 

10. Your rights 

You have the right to ask us not to process your personal data or pictures for marketing purposes. We will usually inform you (before collecting your data) if we intend to use your data for such purposes or if we intend to disclose your information to any third party for such purposes. You can exercise your right to prevent such processing by contacting us at support@musicpreneur.com.my 
 
Our site may, from time to time, contain links to and from the websites of our partner networks, advertisers and affiliates. If you follow a link to any of these websites, please note that these websites have their own privacy policies and that we do not accept any responsibility or liability for these policies. 11. Photography (Use of Photography) and testimonials 

Musicpreneur™, reserves the right to use photographs, motion pictures and electronic images of students and visitors, age 18 and older, taken on Musicpreneur™Marketing and at Musicpreneur™-sponsored events, for marketing and promotional purposes. 
 
Occasionally, Musicpreneur™ conduct media production activities for marketing purposes. The results of such photography and recording may be broadcast throughout the world. If you do not wish to be identified, photographed or recorded, please avoid areas where camera technicians and photographers are working. 
Objection to the use of an individual's photograph may be made in writing to support@musicpreneur.com.my.

13. Terms of Use 

13.1 Introduction 

THESE TERMS OF USE ("TERMS") BIND YOU, THE COMPANY YOU REPRESENT, AND THE COMPANY THAT REGISTERED YOU (COLLECTIVELY "YOU") TO THE TERMS AND CONDITIONS SET FORTH HEREIN IN CONNECTION WITH YOUR USE OF MUSICPRENEUR™, INC.'S ("OUR", "WE", "US", OR "MUSICPRENEUR™") SOFTWARE, WEBSITE, MOBILE APPLICATIONS OR CONNECTED APPLICATIONS SUCH AS APPLE TV, SERVICES OR OTHER OFFERINGS ON OUR WEBSITE (COLLECTIVELY, OUR "SERVICES"). BY USING ANY OF THE MUSICPRENEUR™ SERVICES OR CLICKING ON THE "SIGNUP" BUTTON, YOU AGREE TO BECOME BOUND BY THE TERMS. IF YOU DO NOT AGREE TO ALL THESE TERMS, CLICK ON THE "X" BUTTON AND DO NOT USE THE MUSICPRENEUR™ SERVICES. MUSICPRENEUR™'S ACCEPTANCE IS EXPRESSLY CONDITIONED UPON YOUR ASSENT TO ALL THESE TERMS, TO THE EXCLUSION OF ALL OTHER TERMS. IF THESE TERMS ARE CONSIDERED AN OFFER BY MUSICPRENEUR™, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS. 

Pre-arbitration clause: 

IMPORTANT: BY AGREEING TO THESE TERMS YOU AGREE TO RESOLVE DISPUTES WITH MUSICPRENEUR™ THROUGH BINDING ARBITRATION (AND WITH VERY LIMITED EXCEPTIONS, NOT IN COURT), AND YOU WAIVE CERTAIN RIGHTS TO PARTICIPATE IN CLASS ACTIONS, AS DETAILED IN SECTION 18. 

All capitalized terms used and not otherwise defined herein shall have the meaning ascribed to them in Musicpreneur™'s Privacy Policy ("Privacy Policy"), and Coach Terms & Conditions ("Coach Terms"). 

Any version of these Terms of Use in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.

13.3 M-Centre

Music schools which are interested to join as a user to post their product on Musicpreneur™ are defined as M-Centre. By clicking Join button, M-Centre will need to submit the particulars information that is request, included the SSM form of proof of your music business to be later approved by the admin panel. Joining fee shall be done once upon approval and payment will be not refundable in any circumstances. Joining fee is solely a advertisement value of an fan page at the Musicpreneur™ platform and the authorization of uploading the workshop to be market by Musicpreneur™.

13.4 Additional Agreements 

Any personal information submitted in connection with Your use of the Services is subject to Our Privacy Policy, which is hereby incorporated by reference into these Terms. Additionally, if You are a Coach (as defined below), You are also subject to the Coach Terms, which are hereby incorporated by reference into these Terms. If You are a Coach, and there is a conflict between these Terms and the Coach Terms, the Coach Terms will govern. 

13.5 General 

Our Services enable students ("Students") to connect with independent contractor Coaches (the "Coaches", collectively with Students, the "Users") who provide live and recorded instruction, tutoring, and learning services (the "Courses") via Our Services. The Services include, without limitation, facilitating and hosting Courses and supporting materials, and taking feedback from Users. 

From time to time, We may update these Terms to clarify our practices or to reflect new or different practices, such as when We add new features, and reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If We make any material change to these Terms, We will notify You using prominent means such as by email notice sent to the email address specified in Your Account or by posting a notice through Our Services. Modifications will become effective on the day they are posted unless stated otherwise. 

Your continued use of Our Services after changes become effective shall mean that You accept those changes. You should visit the Services regularly to ensure You are aware of the latest version of the Terms, as any revised Terms shall supersede all previous Terms. 

MusicpreneurTM may modify the Services or discontinue their availability at any time.You are solely responsible for all service, telephony, data charges and/or other fees and costs associated with Your access to and use of the Services, as well as for obtaining and maintaining all telephone, computer hardware, and other equipment required for such access and use.If You elect to access or use Our Services that involve payment of a fee, then You agree to pay, and will be responsible for payment of, that fee and all taxes associated with such access or use. If You provide credit card information to pay for such fees then You hereby represent and warrant that You are authorized to supply such information and hereby authorize MusicpreneurTM to charge Your credit card on a regular basis to pay the fees as they are due.
If Your payment method fails or Your Account is past due, then We may collect fees owed using other collection mechanisms. This may include charging other payment methods on file with Us and/or retaining collection agencies and legal counsel. We may also block Your access to any Services pending resolution of any amounts due by You to MusicpreneurTM. All of Your use, access and other activities relating to the Services must be in compliance with all applicable laws and regulations, including, without limitations, laws relating to copyright and other intellectual property use, and to privacy and personal identity. Further, access to Our Services from territories where their contents are illegal is prohibited. Those who choose to access or use the Services from locations outside of the United States do so at their own initiative and are responsible for compliance with all local rules including, without limitation, rules about the internet, data, e-mail, or privacy. You further agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which You reside. If You use the Services or Third Party Platforms (as defined in the next section) from countries outside of the United States You must agree to abide by all local rules regarding online conduct and acceptable content.

13.6. General Disclaimer

The Services are only a marketplace for Coaches and Students. We do not hire or employ Coaches nor are We responsible or liable for any interactions involved between the Coaches and the Students who purchase an Coach's Course via the Services. We are not responsible for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to conduct of Coaches or Students, including, but not limited to, any Student's reliance upon any information provided by an Coach.
We do not control Submitted Content (as defined below) posted on the Services and, as such, do not guarantee in any manner the reliability, validity, accuracy or truthfulness of such Submitted Content. You also understand that by using the Services, MusicpreneurTM may expose You to Submitted Content that You consider offensive, indecent, or objectionable. MusicpreneurTM has no responsibility to keep such content from You and no liability for Your access or use of any Submitted Content, to the extent permissible under applicable law.
The Services may give You access to links to third party platforms ("Third Party Platforms"), either directly or through Courses or Coaches. MusicpreneurTM does not endorse any of these Third Party

Platforms and does not control them in any manner. Accordingly, MusicpreneurTM does not assume any liability associated with Third Party Platforms. You need to take appropriate steps to determine whether accessing a Third Party Platform is appropriate, and to protect Your personal information and privacy on such Third Party Platform.

13.7. Conduct

You may only access the Services for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, rules, and regulations pertaining to Your use of the Services. You agree not to use the Services of the Company Content (as defined below) to recruit, solicit, or contact in any form, Coaches or potential users for employment or contracting for a business not affiliated with Us without Our advance written permission, which may be withheld in Our sole discretion. You assume any and all risks from any meetings or contact between You and any Coaches or other Users of the Services.

13.8. Specific Obligations of Coaches

Please see Coach Terms.

13.9 Specific Obligations of Students

As a Student, You represent, warrant and covenant that:

• You have read, understood, and agree to be bound by the pricing information (see the
  Pricing section below) before using the Services or registering for a Course.

• You are over the age of 18, or, if not, You will only use the Services with the involvement,
  supervision, and approval of a parent or legal guardian. Children under the age of 13 may
  not register for an Account or register or purchase Courses.

• You will not upload, post or otherwise transmit any unsolicited or unauthorized advertising,promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation (commercial or otherwise) through the Services.

• You will not post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or
  information.

• You will not copy, modify, reverse engineer, reproduce, distribute, publicly display, publicly perform, communicate to the public, create derivative works from, deface, tarnish, mutilate, hack, interfere with, or otherwise use and exploit any Company Content, the Services or Courses or Submitted Content except as permitted by these Terms or the relevant Coach as
  applicable.

• You will not frame or embed the Services to circumvent the Services.

• You will not impersonate another person or gain unauthorized access to another person's
  Account.

• You will not introduce any virus, worm, spyware or any other computer code, file or program
  that may or is intended to damage or hijack the operation of any hardware, software or
  telecommunications equipment, or any other aspect of the Services or operation thereof;
  scrape, spider, use a robot or other automated means of any kind to access the Services.

• You will not disclose any personal information to an Coach, and otherwise will assume
  responsibility for controlling how Your personal information is disclosed or used, including,
  without limitation, taking appropriate steps to protect such information.

• You will not solicit personal information from any Coach or other Student.

Students understand and agree that Coaches from whom Students may have purchased Courses may choose to terminate their Accounts with MusicpreneurTM and become inactive. Musicpreneur™ does not guarantee Coach availability to Students and shall not be held liable for any issues relating to Coach availability.

14.0. Registration

To use certain Services, You will need to register and obtain an account and password. When You register, the information You provide to Us during the registration process will help Us in offering content, customer service, network management and other services. You are solely responsible for maintaining the confidentiality of Your account, User Name, and password (collectively, Your "Account") and for all activities associated with or occurring under Your Account. You represent and warrant that Your Account information will be accurate at all times. You must notify Us (a) immediately of any unauthorized use of Your Account and any other breach of security, and (b) ensure that You exit from Your Account at the end of each use of the Services. To the extent permissible under applicable law, we cannot and will not be responsible for any loss or damage arising from Your failure to comply with the foregoing requirements or as a result of use of Your Account, either with or without Your knowledge, prior to Your notifying Us of unauthorized access to Your Account. You may not transfer Your Account to any other person and You may not use anyone else's Account at any time. In cases where You have authorized or registered another individual, including a minor, to use Your Account, you are fully responsible for (i) the online conduct of such Student; (ii) controlling that Student's access to and use of the Services; and (iii) the consequences of any misuse.

There are a few terms need to be clarified before any further:

III. M-Centre

I. EXPERT & EXPERT User
I.1. EXPERT

1. The term "EXPERT" is referring to someone who is invited by Musicpreneur™ management into the platform as a guidance in his/her industry with more than
   10years experience in a particular field.

2. EXPERT has the right to accept or ignore to answer any question that sent
   through email notification.

3. When the question is being ignored by EXPERT, the question will be automatically
   send to admin and a general answer will be sent to user in a formal way.

4. Admin will have the rights to decide whether the rejected question should or should not be re-publish on the MusicpreneurTM platform due to the question is inappropriate or not sellable.

5. If the question is not being answered by EXPERT within 10-days, it will automatically send to Musicpreneur™ fan page to answer that question on behalf of EXPERT generously.

6. Once EXPERT accept to answer, the answer will be automatically to be republished under EXPERT's fan page as Royalties' Generation Column.

7. Income distribution scheme, 80% of the question paid will be forward to EXPERT if the EXPERT replied within a period of 10-days the question posts. And 20% of the question paid would be transferred to Musicpreneur™ platform.

8. For all resell question is at a fix price of RM10. (Price stated may be changed in future, and EXPERT will be informed through email).

9. To minimize all monetary issue, payment will be able to cash out when EXPERT's
   account has accumulated with RM500 and above. A minimum of RM500 can only
   be cashed out or transferred to EXPERT's bank account. All payment will be done
   every 30th June and 31st Dec each year.

10. For EXPERT that not from Malaysia, the payment will be done through PAYPAL.

11. For cash out, EXPERT must send your request by fill up the Cash-Out Form and at
    least 5-working day before 30th June and 31st Dec each year.

12. The management will have the rights to use the EXPERT's detail information filled
    and pictures summited for future promotion used once join EXPERT. Please kindly
    refer Terms & Privacy Policies.

13. Termination of EXPERT can be done by sending an email to ilovemusic@musicpreneur.com.my.

14. MusicpreneurTM has no responsible for any answered question by EXPERT.

I.2. EXPERT User

1. The term "EXPERT User" are referring to those who wants to post question to any EXPERT.All questions will only send out to EXPERT after payment done.

2. EXPERT will have 10-days' timeframe to answer the question.

3. On 11th day after the question sent, if still no answer from EXPERT, Musicpreneur™ will
   answer that question on behalf of the EXPERT, and the answer will be shown under the
   MusicpreneurTM's fan page.

4. Users are encouraged to ask appropriate question that is related to the profession of the
   EXPERT accordingly to his profile stated and his experiences area in order to get EXPERT answer your question.

5. It is the responsibility of the user to evaluate the accuracy, completeness and usefulness of any opinion, answer or other content available through the site, from an EXPERT, from third parties or obtained from a linked site. Please seek the advice of professionals, as
   appropriate, regarding the evaluation of any specific opinion, answer, product, service, or
   other content.

6. All questions will be replied within 15-days maximum. If the EXPERT ignores to answer the question it will automatically send back to Musicpreneur™ Platform to answer the question.

7. All answers are subjective, our team members are as experience as more than 10years in this music industry locally and internationally.

8. Musicpreneur™ will not responsible for any dissatisfaction user.

9. All fee paid are not refundable and not transferrable.

10. User will receive 20% of Royalties' Generation Scheme after the question posted.

II. Xperience 

1. All members must be registered and a fee of RM85 members monthly fee must be paid
   within the first week of each month.

2. No registration fee upon register. Yet all members are encouraged to get ONE piece of
   MusicpreneurTM T-Shirt & ONE Xperience Passport, at a total of RM80.00.

3. For any outdoor activities, all members must be well take care by themselves, Musicpreneur does not hold the responsibilities for any damage or lost or misleading issue or violence etc.

III. M-Centre
Application Criteria

1. The music centre must be registered at SSM and MUST provide an address within Malaysia.

2. Must attend the M-Centre monthly meeting for at least 10times annually. The monthly
   meeting day is fixed on first Monday of each month and it will be starting from 11am sharp to 1pm. In the situation of the person in charge absent for that meeting, he or she must get the 2nd person in charge to replace. And mean while the representative must be ready to take part the meeting.

3. The nature of the music centre must be related to music or art field. No nursing or childcare services should be provided.

4. By the time of registration, the music centre must have at least 50 students.

5. By the time of registration, the music centre must have at least 3 staffs.

6. By the time of registration, the music centre must have at least one year of operation.

7. Each centre must summit all documents and pictures needed according to the M-Centre
   Registration Form respectively. All information must be truth and correct.

8. Each M-Centre member must learn how to upload workshop including the cover page of the workshop.

9. All M-Centre must upload or updated its' fan page first before upload any workshop.

10. Each M-Centre must keep their fan page updated, such as tutors, program, workshop,
    location, annual concert, etc.

11. All workshop venue can be either located at their own centre or at HQ of Musicpreneur™

12. All workshop detail, such as tutor, course outline, workshop dates and time, venue, and also fee charges are fixed by individual M-Centre member. MusicpreneurTM does not hold any responsibility for any M-Centre on way of conduct, material used, instruments used, text book or reference book used, tutor's coaching method, etc.

13. Payment is direct through e-GHL system. In case of any payment issue MusicpreneurTM will not be the party to be involved. Please refer direct to e-GHL Sdn. Bhd.

14. Annually fee of RMXXX must be paid before each year December 20th

15. Annually fee will be changed based on the market.

16. Annually fee date is commencing from the registration date till end of December.

17. For all the information given are CORRECT and TRUTH. If any information given found fraud case, MusicpreneurTM will have the right to TERMINATE its membership. No refund can be made.

18. For the rules and regulations, terms and privacy policies stated above, MusicpreneurTM will have all the rights to amend or delete or change it without any notification given.
